CONSTITUTION
AND BY-LAWS NATIONAL

ARTICLE I - NAME AND OBJECTIVES SECTION
I This Association shall be known as the National
Association of District Directors. SECTION
II THE OBJECTIVES OF THIS ASSOCIATION SHALL BE: 1.
To
strive to maintain and improve the confidence, esteem and respect of the public
for the FSA District Directors, FSA, and the Department of Agriculture. 2.
To
promote the welfare of our nation's agricultural producers by cooperating with
all levels of FSA to improve the effectiveness and efficiency of FSA delivery of
programs. 3.
To
promote an aggressive training program. 4.
To
promote the professionalism of the District Director position. ARTICLE II - MEMBERSHIP SECTION
I Any FSA District Director on active duty may become a
member of this Association by paying the annual membership dues of the
Association. Any other person who so desires may become an associate member upon
payment of the associate member's dues. SECTION
II Each individual member must show in good faith that he
or she is interested in the purpose of the Association. He or she must not be a
member of any organization of government employees who asserts the right to
strike against the government of the ARTICLE III - OFFICERS SECTION
I The officers of this Association shall be a President~
Vice-President and a Secretary-Treasurer. SECTION
II The President, Vice-President and Secretary-Treasurer,
shall be elected at the annual meeting of this Association; the exact date to be
set by the executive committee; and each shall hold office For one year or until
the successor is elected and qualified at the next annual meeting. The President
and Vice-President are limited to two consecutive terms. The Secretary-Treasurer
may succeed themselves in office and may be elected for as many terms as pleases
the Annual Convention of Delegates of the Association. ARTICLE IV - NOMINATING, VOTING
AND ELECTING SECTION
I Nomination of candidates for the office of this
Association shall be by a Nominating Committee appointed by the President or by
nominations from the floor following the report of the Nominating Committee
except for the first year. SECTION
II Election of officers shall not be by written ballot
unless a majority of members present vote to have election by secret ballot. SECTION
III Each state shall have one vote per District Director
who is a paid member not to exceed a total of three votes. The members must be
present to vote. ARTICLE V - MEETINGS SECTION
I There shall be one annual meeting of this Association
held at the call of the President at the time and place designated by the
Executive Committee. SECTION
II Other meetings of the Executive Committee may be held
at the discretion of the Executive Committee. ARTICLE VI - COMMITTEES SECTION
I All committees, except the Executive Committee, shall
be appointed by the President. SECTION
II The number of committees, and the nature and extent of
their duties shall be such as the Executive Committee believes will best
accomplish the objectives of work of the Association. SECTION
III The Executive Committee shall consist of one District
Director per area plus the President, Vice-President, Secretary-Treasurer and
the past President in 1993/1994 and future years. Each area shall be responsible
for selecting their representative and alternate representative on the Executive
Committee. The Executive Committee may take any action not
prohibited by the Constitution and By-Laws that in their judgment is necessary
and for the benefit of the Association. ARTICLE VII - DUES SECTION
I The annual membership dues shall be $60.00 for District
Directors. Dues for associate members shall be $20.00. Dues are due on October 1
of each year. ARTICLE VIII - QUORUMS SECTION
I A quorum at any annual meeting of this Association
shall consist of a majority of the recorded members present. SECTION
II A quorum of the Executive Committee shall consist of a
majority of the said Committee. ARTICLE IX - CONDUCT OF MEETINGS SECTION
I Roberts' Rules of Order shall cover the discussions and
parliamentary procedure of all meetings of this Association. ARTICLE X - VACANCIES SECTION
I The Vice-President shall serve in the absence or
inability of the President. SECTION
II In the absence, inability, or removal for cause of the
Vice-President, or the Secretary-Treasurer, that office in either case shall be
filled until the first annual meeting thereafter by appointment by the remaining
members of the Executive Committee. SECTION
III Vacancies in the positions of the appointive members of
the Executive Committee shall be filled by appointment by the President. ARTICLE XI - FINANCIAL MATTERS SECTION
I The Secretary-Treasurer shall deposit all funds of this
Association in an accredited bank or banks designated by the Executive Committee
as depositories for the funds of the Association and keep an adequate record of
collections and withdrawals. SECTION
II The President and Secretary-Treasurer must approve the
expenditure of any or all funds from the Association's account. The Executive
Committee shall be responsible for an annual review of expenditures. SECTION
III The Executive Committee may refuse to pay any expenses
incurred by any person or committee until all required expense accounts are
properly presented to and filed with the Secretary-Treasurer, and have been
approved by the Executive Committee. ARTICLE XII - AMENDMENTS SECTION
I This Constitution and By-Laws may be amended, revised
or repealed at any annual meeting of this Association by an affirmative vote of
2/3 (two-thirds) of the voting members present. SECTION
II All amendments or revisions so made shall go into
